These Terms & Conditions / End User Licence Agreement ("Terms", "Agreement" or "EULA") govern access to and use of BASE ERP, including the website, portal, SaaS platform, active modules, trial access, paid subscriptions, support services, communication features, payment features, APIs, integrations, and all future modules or services that may be activated from time to time.
BASE ERP is created, owned, operated, designed and developed by Fiscus Consilio Financial Distribution Private Limited. By registering, accessing, logging in, using, subscribing to, purchasing, renewing, upgrading or continuing to use BASE ERP, the user, firm, organisation, authorised person, employee, consultant, representative or any person accessing the platform agrees to be bound by these Terms.
If you do not agree with these Terms, you must not access or use BASE ERP.
BASE ERP is provided as a SaaS platform for accounting support workflows, business management, task management, compliance workflow management, client management, firm management, document management, billing support, reporting support, communication support and related business process automation.
BASE ERP is a technology platform. It does not replace the User's professional judgement, statutory verification, legal review, tax review, audit procedures, accounting responsibility, regulatory responsibility or business decision-making.
The User is solely responsible for reviewing, verifying and approving all entries, reports, documents, invoices, returns, calculations, outputs, reminders, alerts, communications, statutory data, financial data and compliance decisions before using, filing, submitting, sharing or relying on them.
The User confirms that he/she/they has legal authority to register, create an account, subscribe, make payment, upload data, create firm records, create user records and use BASE ERP on behalf of the relevant firm, company, LLP, partnership, proprietorship, trust, society, association, professional practice or organisation.
Where an employee, consultant, staff member or representative uses BASE ERP on behalf of an organisation, such person confirms that he/she/they is authorised by the organisation.
The Company shall not be responsible for disputes between owners, partners, directors, employees, consultants, agents, clients, staff members, associates or internal persons of the User's organisation.
Users must provide true, complete, accurate and updated registration, firm, contact, billing, statutory and account information.
Email OTP verification is mandatory before trial activation or account activation. Mobile OTP or WhatsApp OTP may be enabled, disabled or made mandatory in future at the discretion of the Company.
The User is responsible for maintaining confidentiality of login credentials, password, OTP, security questions, user permissions, device access and account activity.
The Company shall not be liable for loss caused by weak passwords, shared passwords, unauthorised internal use, compromised email accounts, compromised devices, negligence, phishing, malware or failure of the User to maintain account security.
BASE ERP may provide a 15 days free trial after successful Email OTP verification.
Trial access is provided only for evaluation of available modules. Trial features, limits, duration, access rights, number of users, number of companies, storage, support and modules may be changed, restricted, extended, withdrawn or modified at the discretion of the Company.
The Company may refuse, suspend or cancel trial access in case of duplicate registration, false information, misuse, suspicious activity, policy violation, technical risk, security risk or commercial abuse.
BASE ERP is licensed, not sold. The User receives a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the platform during the valid trial or subscription period, subject to these Terms.
Subscription access, trial access, module access, user access, company access, payment features and other features may be restricted if verification, subscription, payment, permission, security or compliance conditions are not satisfied.
Plan limits, module limits, usage limits, storage limits, user limits, company limits and feature access may vary according to subscription plan. The Company may add, remove, rename, improve, merge, split, deactivate or modify modules, features, menus, reports, dashboards, workflows, UI, settings or integrations from time to time.
The User is solely responsible for correctness of firm details, client details, supplier details, employee details, statutory registrations, billing information, accounting, tax, GST, TDS, PF, ESIC, professional tax, payroll, ROC, audit, legal, financial and compliance data.
The User is responsible for verification of invoices, ledgers, reports, returns, reconciliations, filings, calculations and outputs, and for obtaining proper professional advice before filing or submitting statutory documents.
BASE ERP may provide reminders, alerts, reports, calculations, validations, formats, templates, suggestions, automation and workflows. These are technology assistance features and shall not be treated as final professional, legal, tax, accounting, audit, investment, financial, compliance or regulatory advice.
BASE ERP and the Company do not provide legal, tax, accounting, audit, investment, financial, insurance, regulatory or professional advice through the software platform.
Any content, workflow, format, report, template, calculation, alert, reminder, validation or suggestion generated by BASE ERP is for assistance only. The User must independently verify the same before relying on it.
The User represents that all data, files, documents, images, invoices, ledgers, client records, task records, communication records and other content uploaded or entered into BASE ERP are lawful, accurate, authorised and do not infringe any third-party rights.
The Company may restrict, remove, quarantine, block or report content if it appears unlawful, harmful, suspicious, abusive, infected or in violation of these Terms.
The User shall not attempt unauthorised access, hacking, reverse engineering, scraping, data mining, bypassing login/OTP/subscription controls, uploading harmful files, fraud, spam, phishing, harassment, impersonation, unlawful communication, credential sharing, resale, sublicensing, copying, cloning or use of the platform in violation of any applicable law.
The User agrees that the Company may contact the User by email, mobile call, WhatsApp, SMS, notification, ticket, personal visit by authorised person or other available communication channel for service updates, OTP, support, billing, subscription, renewal, trial, security, product updates and marketing communication, subject to applicable law and recorded consent.
The User is responsible for obtaining necessary consent before using BASE ERP communication features to contact its own clients, staff, customers, suppliers or third parties.
Paid subscription, renewal, upgrade, extra user purchase, module purchase or other paid feature shall be subject to applicable pricing, taxes, payment gateway terms and plan conditions.
The Company may suspend or restrict access for non-payment, failed payment, chargeback, suspected fraud, payment dispute, expired subscription or violation of these Terms.
Refunds and cancellations shall be governed by the Refund & Cancellation Policy published on the website/portal, as amended from time to time. The User must review the refund policy before making payment.
Existing data will not be deleted merely due to trial expiry or subscription expiry. However, access to view, edit, export, download, process, upload or use data may be restricted after expiry, non-payment, suspension or termination.
The User is responsible for maintaining independent backups and copies of important data, records, statutory documents and reports.
BASE ERP may integrate or interact with third-party services such as payment gateways, email service providers, SMS providers, WhatsApp/WABA providers, hosting providers, cloud providers, APIs, government portals, authentication services or other service providers.
The Company is not responsible for failures, downtime, delays, pricing, policy changes, rejection, suspension, errors, data loss, service interruption or legal terms of third-party service providers.
Where BASE ERP provides support for GST, income tax, TDS, PF, ESIC, ROC, e-invoice, e-way bill, bank, payment, government portal or third-party API workflows, the User remains solely responsible for correctness, verification, authorisation and final submission.
The Company shall not be responsible for portal downtime, API changes, government system errors, rejection, late filing, penalty, interest, notice, demand, mismatch, wrong filing, missed deadline or compliance failure due to incorrect data, user delay, third-party failure, government portal issue or any cause beyond the Company's reasonable control.
The Company will make reasonable efforts to keep BASE ERP available. However, uninterrupted, error-free, virus-free or fully secure access is not guaranteed.
The platform may be unavailable due to maintenance, updates, bugs, cyber incidents, hosting issues, network failure, payment gateway issue, third-party service issue, force majeure, legal restriction or other reasons.
The Company may implement reasonable security measures such as login controls, OTP verification, tenant-wise separation, audit logs, access roles, environment variable protection, backups, monitoring and administrative controls. However, no system is completely secure.
The User is responsible for device security, password security, email security, user permission review, staff control and safe internet practices.
All rights, title and interest in BASE ERP, including software, code, design, database structure, workflow, UI, modules, reports, dashboards, documentation, name, logo, brand, content, templates and related intellectual property belong to Fiscus Consilio Financial Distribution Private Limited or its licensors.
The User shall not copy, reproduce, modify, reverse engineer, distribute, resell, white-label, frame, mirror or create derivative works from BASE ERP without written permission.
BASE ERP is provided on "as is" and "as available" basis to the maximum extent permitted by law.
The Company does not warrant that the platform will be uninterrupted, error-free, fully secure, compatible with all systems, suitable for every business requirement, free from bugs, or that outputs will be accurate without User verification.
To the maximum extent permitted by applicable law, the Company, its directors, employees, officers, developers, consultants, service providers and representatives shall not be liable for indirect, incidental, special, consequential, punitive or exemplary damages, including loss of profit, loss of business, loss of data, statutory penalty, interest, demand, notice, tax liability, compliance failure, business interruption, cyber incident or third-party claim arising from use or inability to use BASE ERP.
In any case, the total aggregate liability of the Company shall not exceed the amount actually paid by the User to the Company for the relevant subscription period giving rise to the claim, subject to applicable law.
The User agrees to indemnify and hold harmless the Company, its directors, employees, officers, developers, consultants, service providers and representatives from claims, losses, penalties, demands, damages, costs, liabilities or expenses arising from incorrect, unlawful or unauthorised data, violation of these Terms, misuse of the platform, violation of law, wrong statutory filing, unauthorised communication, internal disputes or third-party claims from User activity.
The Company may suspend, restrict or terminate access for non-payment, failed or disputed payment, violation of Terms, misuse, security risk, false information, legal requirement or where continued access may create legal, financial, security or operational risk.
Termination or suspension shall not affect rights and liabilities already accrued.
The Company may update these Terms from time to time. Updated Terms may be published on the website/portal. Continued use of BASE ERP after changes shall be treated as acceptance of updated Terms.
The Company shall not be liable for delay, failure or non-performance caused by events beyond reasonable control, including natural disaster, fire, flood, epidemic, pandemic, strike, war, terrorism, government action, internet failure, hosting failure, cyberattack, power failure, third-party service failure, payment gateway failure, API failure or government portal failure.
These Terms shall be governed primarily by the laws of India. Subject to applicable law, all disputes shall be subject to the exclusive jurisdiction of competent courts at Surat, Gujarat, India.
Where a User accesses BASE ERP from outside India, the User is responsible for ensuring compliance with local laws applicable to such access. BASE ERP is primarily intended for Indian business, accounting and compliance workflows.
